These Terms of Service (“Terms”) govern your access to and use of the products and services provided by Nestify Labs Inc. (“Nestify,” “we,” “us,” or “our”), including our websites, applications, software, devices, artificial intelligence features, subscriptions, and related services (collectively, the “Services”).

Please read these Terms carefully. By creating an account, accessing or using the Services, or otherwise indicating your acceptance of these Terms, you agree to be bound by them. If you do not agree, you may not use the Services.

Our Privacy Policy explains how we collect, use, disclose, and protect personal information in connection with the Services.

For U.S. users, Section 22 contains an agreement to resolve certain disputes through binding individual arbitration. Unless you opt out as described in that section, this may affect your right to bring a claim in court, have a jury decide a dispute, or participate in a class or representative action.

1. The Services

Nestify provides tools designed to help households organize and coordinate everyday life. Depending on the Services available to you, these tools may include calendars, events, tasks, lists, routines, recipes, meal planning, rewards, reminders, connected services, shared household displays, and artificial intelligence features.

Nestie is Nestify’s AI assistant. Nestie may allow you to interact with the Services using voice or text and may help you create, organize, update, or retrieve information within Nestify.

Certain Services may also be available through the Nestify Home Hub, a shared household device.

We may add, modify, improve, limit, suspend, or discontinue features of the Services from time to time.

2. What Nestify Is Not

Nestify is designed for household organization and convenience. It is not intended to replace professional judgment or professional services.

Nestify is not an emergency service and should not be used to contact emergency responders or obtain emergency assistance.

Information provided through Nestify, including information generated by Nestie, is not medical, psychological, legal, financial, nutritional, or other professional advice.

You should not use Nestify as the sole method for medication reminders, medical appointments, childcare handoffs, school pickups, legal or financial deadlines, emergency alerts, or other situations where a missed, delayed, incomplete, or inaccurate notification could cause harm or significant loss.

Nestify is also not intended to serve as your sole backup or system of record. You are responsible for maintaining separate copies of information you cannot afford to lose.

You are responsible for deciding whether and how to rely on information provided through the Services.

3. Accounts and Household Access

Certain features of the Services require a Nestify account.

You agree to provide accurate information when creating your account and to keep your account information reasonably current.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity that occurs through your account.

If you believe your account or household has been accessed without your authorization, please contact us promptly.

Nestify may allow you to invite other people to join a household or connect a device to that household. Invite codes, sign-in links, pairing codes, and similar credentials may provide access to household information. You are responsible for sharing them only with people you intend to authorize.

4. Eligibility

The Services are not designed or intended for use by anyone under the age of 13. If you are under the age of 13, you may use the Services only with the permission and supervision of a parent or legal guardian.

You may not use the Services if applicable law prohibits you from doing so or if we have previously suspended or terminated your access for violation of these Terms.

5. Shared Household Features

Nestify is designed around shared household information.

Depending on the feature and household settings, other household members may be able to view, add, edit, organize, or delete information in shared household spaces, including information created by you.

Information displayed on a Nestify Home Hub or another shared screen may also be visible to people physically present in the space.

You are responsible for deciding whom you invite into your household, what information you place in shared areas, which connected services you make available, and where you place shared devices.

If you leave a household or delete your account, information you previously contributed to a shared household may not automatically disappear if that information forms part of the household’s shared record.

Our Privacy Policy explains how account deletion and shared household information are handled.

6. Your Content

The Services may allow you to submit, create, upload, import, store, transmit, or otherwise provide information and materials, including events, tasks, lists, notes, recipes, photos, documents, voice input, messages, and other content (“Your Content”).

You retain any ownership rights you have in Your Content.

You grant Nestify a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, process, modify, format, display, and otherwise use Your Content as reasonably necessary to provide, operate, maintain, secure, develop, and improve the Services.

This includes processing Your Content to create features and functionality such as transcriptions, summaries, reminders, structured information, search results, assistant memory, and other outputs provided through the Services.

You represent that you have the rights, permissions, and consents necessary to provide Your Content and to allow us to use it as described in these Terms.

If Your Content includes information about another person, you are responsible for having any authority, permission, or consent required to provide that information.

Our collection and use of personal information contained in Your Content is governed by our Privacy Policy.

If you voluntarily provide suggestions, ideas, recommendations, or other feedback about Nestify, we may use that feedback without restriction or compensation to you.

7. Artificial Intelligence Features

7.1 Inputs and Outputs

Some Nestify features use artificial intelligence, machine learning, speech recognition, or other automated technologies.

Information you provide to an AI feature may be referred to as an “Input,” and information generated in response may be referred to as an “Output.”

AI systems are probabilistic. The same or similar Input may not always produce the same Output, and Output may be inaccurate, incomplete, outdated, misleading, or inappropriate for your circumstances.

You should not rely on Output as the sole source of truth or as a substitute for your own judgment or professional advice.

7.2 Review AI Output

You are responsible for evaluating Output before relying on it, sharing it, or using it to make a decision.

Nestie may misunderstand information such as names, dates, times, time zones, quantities, recurring events, household members, relationships between items, or information contained in uploaded files.

Nestie may also omit information or generate information that was not contained in your request.

7.3 Actions Taken by Nestie

Some Nestie features may take actions at your request, including creating, editing, organizing, assigning, or deleting information in Nestify.

These actions may affect shared household information and may become visible to other household members.

You are responsible for reviewing actions presented to you before confirming or relying on them.

Where Nestify provides a confirmation, undo, recovery, or review feature, that feature is provided as a convenience and does not guarantee that every action can be reversed.

7.4 No Professional Advice

AI-generated Output is not professional advice.

Do not rely on Nestie to diagnose or treat a medical or psychological condition, determine whether food is safe for a person with an allergy, interpret legal rights, make financial decisions, or respond to an emergency.

7.5 AI Providers and Privacy

Certain AI and speech features rely on third-party technology providers.

Our Privacy Policy explains how information is processed in connection with AI and speech providers, including our practices relating to voice recordings and AI model training.

8. Voice Features

Certain Services allow you to interact with Nestify using your voice.

Voice recognition, transcription, speaker recognition, and wake-word detection are not perfect. A voice feature may misunderstand what was said, fail to activate, activate unexpectedly, or capture speech or sounds from people nearby.

You are responsible for reviewing information created from voice input before relying on it.

8.1 Recording Other People

Voice capture may include people other than the person intentionally using the Service.

Recording, wiretap, biometric, and privacy laws vary by jurisdiction. You are responsible for providing any notice and obtaining any consent required by applicable law before using Nestify in circumstances where another person may be recorded or their voice may be processed.

You may not use Nestify to secretly monitor or record another person or in a location where doing so would violate applicable law or another person’s reasonable expectation of privacy.

8.2 Speaker Recognition and Voiceprints

Certain Services may offer optional speaker-recognition features.

Speaker recognition may produce an incorrect match or fail to recognize an enrolled speaker. It is designed to personalize the experience and is not an identity-verification, security, or authentication system.

You may not enroll another person’s voice without any notice, permission, or consent required by applicable law.

Additional requirements or limitations may apply depending on where you live.

Our Privacy Policy provides more information about how voice recordings, transcripts, and voiceprints are handled.

9. Notifications and Reminders

Nestify may provide reminders, notifications, summaries, suggested actions, or other alerts.

We do not guarantee that a notification or reminder will arrive at a particular time or arrive at all.

Notifications may be delayed, duplicated, delivered out of order, or fail because of network conditions, loss of connectivity, third-party notification services, operating-system restrictions, battery or power settings, notification permissions, device configuration, software errors, service outages, or other circumstances.

You are responsible for independently tracking matters that are important, time-sensitive, safety-sensitive, or legally significant.

Do not rely on Nestify as your sole reminder or alert for matters where a missed or delayed notification could result in personal injury, financial loss, missed legal obligations, or other serious consequences.

10. Third-Party and Connected Services

Nestify may allow you to connect accounts, calendars, applications, websites, email services, or other services operated by third parties (“Third-Party Services”).

By connecting a Third-Party Service, you authorize Nestify to access, receive, send, modify, or synchronize information as reasonably necessary to provide the feature you requested and within the permissions you grant.

Your relationship with the provider of a Third-Party Service is governed by your agreement with that provider.

Nestify does not control Third-Party Services and is not responsible for their availability, accuracy, security, terms, privacy practices, or changes to their products or interfaces.

A Third-Party Service may change or discontinue access to Nestify at any time, which may cause a connected feature to stop working.

11. Calendar Synchronization

If you connect an external calendar, Nestify may read from or write information to that calendar depending on the permissions and synchronization features you enable.

Changes made through Nestify may therefore create, modify, or delete information stored outside Nestify.

Synchronization between multiple systems may not always be immediate or error-free. Information may be delayed, duplicated, modified unexpectedly, or fail to synchronize.

Recurring events, time zones, simultaneous edits, permissions, or changes made directly through a third-party service may result in differences between Nestify and the external service.

You are responsible for reviewing important calendar information and maintaining another record of information you cannot afford to lose.

12. Imported Content, Documents, and Email

The Services may allow you to import or provide information from websites, emails, social platforms, documents, photos, or other sources.

Automated extraction may be incomplete or inaccurate. You are responsible for reviewing information extracted by the Services before relying on it.

When you upload or forward a file, image, PDF, email, or other document, information contained in that material may be processed as part of the feature, including information you did not specifically intend to submit.

You should review materials before providing them to Nestify and remove information you do not want processed.

You are responsible for ensuring that you have the rights or permissions necessary to import, upload, store, or otherwise use third-party content.

Third-party content remains subject to the rights of its original owner.

13. Recipes, Nutrition, and Allergen Information

The Services may provide or extract recipe information, nutritional information, cooking instructions, dietary classifications, and allergen indicators.

This information may come from users, third-party sources, automated extraction, or AI analysis and may be inaccurate or incomplete.

An allergen label indicates only what Nestify detected. The absence of an allergen warning does not mean that an ingredient or recipe is free of that allergen.

Nestify cannot determine cross-contamination, manufacturing conditions, substitutions, incomplete ingredient lists, or the actual contents of food in your home.

If you or another person has an allergy, intolerance, health condition, or dietary restriction, you are responsible for independently reviewing ingredient labels, packaging, preparation methods, and other relevant information.

Do not rely solely on Nestify to determine whether food is safe for a particular person.

14. Rewards and Household Points

Nestify may allow households to create rewards, stars, points, or other household incentives.

Unless expressly stated otherwise, these features are intended for household organization and motivation only.

Nestify rewards and points have no monetary value, are not currency, cannot be redeemed for cash from Nestify, and cannot be transferred outside the household as money or property.

Any reward created or promised by a household member is the responsibility of that household, not Nestify.

15. Subscriptions, Billing, and Cancellation

Certain features of the Services may require a paid subscription.

The applicable price, billing period, renewal terms, trial terms, and cancellation information will be presented through the applicable purchase flow.

15.1 Automatic Renewal

If you purchase an automatically renewing subscription, your subscription will continue for successive billing periods until canceled in accordance with the terms presented at purchase.

Your payment method will be charged the applicable subscription price and taxes at each renewal.

15.2 App Store Purchases

If you purchase a subscription through the Apple App Store or Google Play, billing and payment processing are handled by the applicable platform.

You must manage or cancel your subscription through the account or subscription controls provided by that platform.

Deleting the Nestify application or stopping use of the Services does not by itself cancel an active subscription.

15.3 Trials and Promotions

If we offer a trial or promotional subscription, additional terms may apply.

Unless otherwise stated in the applicable offer, a trial that converts to a paid subscription will begin charging at the end of the trial unless you cancel before the conversion date.

15.4 Price Changes

We may change the price of paid Services from time to time.

Changes to an existing automatically renewing subscription will apply as permitted by applicable law and the rules of the platform through which the subscription was purchased. Where required, we will provide advance notice.

15.5 Refunds

Refund eligibility depends on applicable law and, where a purchase is made through an app store or other payment platform, the policies of that platform.

Nothing in this section limits a refund, cancellation, or other consumer right that cannot lawfully be waived.

16. Nestify Home Hub and Other Hardware

Additional terms may apply if you purchase, receive, borrow, test, or participate in a pilot involving a Nestify Home Hub or other Nestify hardware.

Those additional terms may address matters such as ownership, shipping, returns, warranties, replacement, loss, damage, pilot participation, or end-of-program requirements.

If hardware-specific terms conflict with these Terms on a matter relating specifically to the hardware, the more specific terms will control.

Nestify may provide software, firmware, and security updates to supported devices. Some updates may install automatically or may be required for continued use of a device or feature.

You may not intentionally bypass device-management controls, disable required security mechanisms, install unauthorized software, or modify Nestify hardware or software for the purpose of circumventing restrictions imposed by the Services.

17. Acceptable Use

You may use the Services only in accordance with these Terms and applicable law.

You may not use the Services to:

  • violate applicable law or another person’s rights;
  • harass, threaten, stalk, exploit, or harm another person;
  • secretly record or monitor another person;
  • upload or distribute malware or malicious code;
  • upload or distribute content that unlawfully infringes intellectual-property, privacy, publicity, or other rights;
  • upload or distribute content that sexually exploits or abuses minors;
  • gain unauthorized access to another account, household, device, network, or system;
  • bypass authentication, security controls, usage limits, or safety safeguards;
  • interfere with or disrupt the operation of the Services;
  • reverse engineer, decompile, or attempt to derive source code except where applicable law expressly permits it;
  • scrape, crawl, or systematically extract information from the Services without authorization;
  • resell, lease, sublicense, or commercially exploit the Services without our authorization; or
  • intentionally use AI features to circumvent safeguards or facilitate unlawful or harmful activity.

We may investigate suspected violations and take reasonable action, including restricting, suspending, or terminating access.

18. Beta, Pilot, and Experimental Features

From time to time, Nestify may provide access to products or features identified as beta, pilot, preview, pre-release, experimental, or otherwise not generally available.

These features may be incomplete, unstable, inaccurate, or subject to change.

They may experience interruptions, errors, unexpected behavior, or data loss and may be modified or discontinued at any time.

Additional terms or consent forms may apply to a particular beta or pilot program.

Unless otherwise required by law or expressly agreed in writing, beta and experimental features are provided for testing purposes and without any guarantee that they will become generally available.

19. Intellectual Property

Nestify and its licensors retain all rights, title, and interest in and to the Services, including software, interfaces, designs, trademarks, logos, documentation, models, systems, and technology, excluding Your Content and third-party content.

Subject to these Terms, Nestify grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Services for personal and household purposes.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from Nestify software or other protected materials except where expressly permitted by us or applicable law.

No rights are granted except as expressly stated in these Terms.

20. Copyright Complaints

We respect intellectual-property rights.

If you believe content available through the Services infringes your copyright, please contact us with sufficient information to identify the copyrighted work and the material you believe infringes it.

Your notice should include your contact information, a description of the copyrighted work, information reasonably sufficient for us to locate the material, and a statement that you believe in good faith that the use is not authorized by the copyright owner, its agent, or applicable law.

We may remove or restrict access to content when we reasonably believe doing so is appropriate or required by law.

We may also suspend or terminate accounts of repeat infringers where appropriate.

Copyright-related requests may be sent using the contact information in Section 29.

21. Availability, Suspension, and Termination

We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

The Services rely on networks, operating systems, cloud services, hardware, third-party providers, and other infrastructure that may experience interruptions.

We may temporarily suspend or limit access to the Services for maintenance, security, technical, legal, or operational reasons.

You may stop using Nestify at any time.

We may suspend or terminate your access if you materially violate these Terms, if we reasonably believe your use creates a security, safety, fraud, or legal risk, if we are required to do so by law, or if we discontinue the relevant Service.

Where reasonably practicable and legally permitted, we may provide notice before termination.

Account deletion and our handling of personal information after account deletion are described in our Privacy Policy.

Provisions that by their nature should survive termination, including provisions concerning intellectual property, warranties, liability, indemnification, and dispute resolution, will continue to apply.

22. Dispute Resolution and Arbitration

Please read this section carefully because it affects your legal rights.

22.1 Informal Resolution

If a dispute arises between you and Nestify, we encourage you to contact us first so that we can try to resolve it informally.

Before beginning arbitration, you and Nestify agree to make a reasonable good-faith effort to resolve the dispute for at least 45 days after written notice of the dispute is received.

22.2 Individual Arbitration

For U.S. users, except where applicable law provides otherwise, you and Nestify agree that disputes arising out of or relating to the Services or these Terms will be resolved through binding individual arbitration rather than in court.

Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

Payment of filing, administration, and arbitrator fees will be governed by the applicable AAA rules and applicable law.

Arbitration may be conducted remotely or in another location permitted under the applicable rules.

22.3 Jury Trial and Class Action Waiver

Unless you opt out as described below, you and Nestify waive the right to a jury trial and agree to bring claims only on an individual basis, rather than as part of a class, collective, or representative action, to the extent permitted by law.

The arbitrator may award any individual remedy that would otherwise be available under applicable law.

22.4 Small Claims Court

Either you or Nestify may bring an eligible individual claim in small claims court instead of arbitration.

22.5 Arbitration Opt-Out

You may opt out of this arbitration agreement by sending written notice to Nestify within 30 days after you first accept these Terms.

Your notice should include your name, the email address associated with your Nestify account, and a clear statement that you wish to opt out of the arbitration agreement.

Opting out of arbitration does not affect any other provision of these Terms.

22.6 Rights That Cannot Be Waived

Nothing in this Section limits any right or remedy that cannot lawfully be waived.

Nothing prevents you from seeking public injunctive relief in a court where applicable law requires that remedy to remain available.

If applicable law gives you a non-waivable right to bring a claim before a court, government agency, or regulator, this Section does not remove that right.

22.7 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.

For disputes that are not subject to arbitration, you and Nestify agree to the jurisdiction of the state and federal courts located in California, except where applicable law gives you a non-waivable right to bring a proceeding elsewhere.

23. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available.”

Nestify disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, and other express, implied, or statutory warranties except where they cannot lawfully be disclaimed.

Without limiting the foregoing, we do not warrant that the Services will always be available, uninterrupted, secure, or error-free; that AI-generated Output will be accurate or complete; that reminders or notifications will arrive; that voice transcription, wake-word detection, or speaker recognition will be accurate; that connected services will remain available or synchronize correctly; that imported or extracted information will be accurate; or that recipe, dietary, nutritional, or allergen information will be complete or suitable for your needs.

Nothing in these Terms limits any statutory warranty, guarantee, or consumer right that cannot lawfully be excluded.

24. Limitation of Liability

To the maximum extent permitted by applicable law, Nestify and its affiliates, officers, directors, employees, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity arising out of or relating to the Services or these Terms.

Without limiting the foregoing, this may include losses arising from inaccurate AI-generated Output or actions, missed or delayed reminders or notifications, voice or speaker-recognition errors, synchronization errors, Third-Party Services, imported content, or information shared through household features.

To the maximum extent permitted by applicable law, Nestify’s total aggregate liability for claims arising out of or relating to the Services will not exceed the amount you paid for the Services during the twelve months preceding the event giving rise to the claim.

These limitations do not apply to any liability, remedy, statutory damages, or right that applicable law does not permit us to limit or exclude.

25. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Nestify Labs Inc. and its affiliates, officers, directors, employees, and agents from third-party claims, damages, liabilities, losses, and reasonable legal expenses arising from Your Content, your material violation of these Terms, your violation of applicable law or another person’s rights, or information or content you provided without the rights or permissions required to provide it.

This obligation does not apply to the extent a claim results from Nestify’s own negligence, misconduct, or violation of law.

26. Changes to These Terms

We may update these Terms from time to time as our Services, business, or legal obligations change.

When we update these Terms, we will change the “Last Updated” date at the top.

If a change materially affects your rights or obligations, we will provide additional notice where required by applicable law.

Where applicable law requires affirmative consent to an updated term, we will request that consent.

If you do not agree with updated Terms, you should stop using the Services.

27. App Store Terms

Apple App Store

If you obtained a Nestify application through the Apple App Store, you acknowledge that these Terms are between you and Nestify, not Apple.

Nestify, not Apple, is responsible for the application, its content, maintenance, support, and claims relating to the application, subject to applicable law.

Your license to use the application is limited to use permitted by Apple’s applicable usage rules.

To the extent required by Apple’s terms, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable provisions against you.

Google Play

If you obtained a Nestify application through Google Play, these Terms are between you and Nestify, not Google.

Your use of Google Play is also subject to Google’s applicable terms.

28. General

These Terms, together with our Privacy Policy and any additional terms presented for a particular product, device, subscription, beta program, or feature, form the agreement between you and Nestify relating to the Services.

If additional terms conflict with these Terms regarding a specific product or feature, the more specific terms will control for that product or feature.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect, and the affected provision will be limited to the minimum extent necessary where permitted by law.

Our failure to enforce a provision is not a waiver of our right to enforce it later.

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or part of our business.

Neither party will be responsible for delay or failure caused by circumstances beyond its reasonable control, except for obligations that cannot lawfully be excused.

These Terms do not create a partnership, joint venture, agency, employment, or fiduciary relationship between you and Nestify.

We may provide notices and other communications relating to the Services electronically, including by email, in-app notice, or through the Services, where permitted by law.

Except as expressly provided in these Terms, these Terms do not create rights for third-party beneficiaries.
